• Maintain the confidentiality of any login credentials or access information we provide

3. Payment Terms

• Payments are due according to the schedule outlined in your contract
• Late payments may incur additional fees
• Services may be suspended for non-payment
• Refunds are handled on a case-by-case basis as outlined in your service agreement

4. Intellectual Property

Our Work Product

Upon full payment, you will own the final deliverables we create for you (websites, graphics, etc.). We retain the right to use our work methods, techniques, and general knowledge gained.

5. Service Delivery and Timelines

We strive to meet all agreed-upon deadlines. However, timelines may be affected by:

• Delays in receiving required materials or feedback from you
• Scope changes or additional requests
• Technical issues beyond our control
• Third-party service dependencies

6. Limitation of Liability

AJ DIGITAL INNOVATIONS LLC's liability is limited to the amount paid for our services. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Issues arising from third-party services or platforms
• Results that may vary due to market conditions or algorithm changes

7. Privacy and Confidentiality

8. SMS Messaging Terms (A2P Compliance)

By providing your mobile number and opting in through our website, forms, or other methods, you agree to receive SMS or MMS messages from AJ Digital Marketing, a division of AJ Digital Innovations LLC.

9. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• You remain responsible for payment of services rendered
• We will provide completed work and transfer ownership as agreed
• Ongoing services (hosting, maintenance) may be discontinued

10. Changes to Services

We reserve the right to modify our services, pricing, or these Terms. Significant changes will be communicated with reasonable advance notice.

11. Dispute Resolution

Any disputes will first be addressed through good faith negotiation. If resolution cannot be reached, disputes will be resolved through the New York State court system or through binding arbitration in accordance with New York State law, at our discretion.

12. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures of third-party services.

13. Governing Law

These Terms are governed by the laws of the State of New York and the United States, without regard to conflict of law principles. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts in New York.
